1. Acceptance of Terms
By accessing or using the NEXLESS platform, website, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
2. Description of Services
NEXLESS provides turnkey software development solutions, platform hosting, and related professional services across multiple industry verticals including healthcare, AI/ML, e-commerce, hardware/IoT, SaaS platforms, infrastructure, blockchain, and logistics.
Our Services may include but are not limited to: custom software development, platform subscriptions, API access, cloud hosting, maintenance and support, consulting, and training. The specific features and limitations of each service tier are described on our Pricing page and in your service agreement.
3. User Accounts & Obligations
To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) comply with all applicable laws and regulations in your use of the Services; (d) not use the Services for any unlawful, harmful, or abusive purpose; and (e) not attempt to gain unauthorized access to any part of the Services or related systems.
4. Payment Terms
Subscription fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
We use Stripe as our payment processor. By providing payment information, you authorize us to charge the applicable fees to your designated payment method. If payment fails, we may suspend or terminate your access to the Services after providing reasonable notice. Prices are subject to change with 30 days advance notice.
For Enterprise and custom development engagements, payment terms are outlined in your individual service agreement or statement of work (SOW).
5. Intellectual Property
The NEXLESS platform, website, brand, documentation, and all related intellectual property are owned by NEXLESS. Nothing in these Terms transfers any NEXLESS intellectual property to you.
For custom development projects: unless otherwise specified in your service agreement, you own the custom code, designs, and deliverables created specifically for you. NEXLESS retains ownership of its pre-existing tools, frameworks, libraries, and methodologies used in the development process.
You retain all rights to your data and content uploaded to the Services. By uploading content, you grant NEXLESS a limited license to host, store, and process that content solely for the purpose of providing the Services.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXLESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEXLESS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
7. Service Level Agreement
NEXLESS commits to the uptime guarantees specified in your service tier: 99.5% for Starter, 99.9% for Professional, and 99.99% for Enterprise plans. Uptime is measured on a monthly basis, excluding scheduled maintenance windows communicated at least 48 hours in advance.
If we fail to meet the applicable uptime commitment, you may be eligible for a service credit as described in your service agreement. Service credits are your sole and exclusive remedy for any downtime or service unavailability.
8. Termination
You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will immediately cease.
We may suspend or terminate your access to the Services at any time if you breach these Terms, fail to pay applicable fees after notice, or if we reasonably believe your use poses a security risk or may cause harm to other users or our systems. We will provide reasonable notice before termination except in cases of material breach.
Upon termination, we will make your data available for export for 30 days. After that period, we may delete your data in accordance with our data retention policies.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
